Job Title: Sr. Counsel, Legal - Global Science & Technology

Job Summary: The successful candidate will support the lead attorney for Baxter’s Research & Development function. S/he will help drive the Company’s business, collaborating with senior attorneys dedicated to individual global businesses as well as clinical, medical, research and development, health economics and patient safety professionals around the world.

The person sought for this role will be a proven, high potential candidate with deep life science expertise, strategic understanding of the clinical trial process, strong intellectual capability, technical skills, and an ability and desire to grow with the organization.

Baxter seeks a motivated, self-starter with excellent judgment to take initiative and ownership of key projects, matters and transactions. S/he will be expected to partner closely with the business. The successful candidate will have the opportunity to make an immediate contribution to Baxter’s continuing growth and success. S/he will have the responsibility for providing legal guidance and counseling to business and functional teams (such as regulatory, compliance, R&D, medical affairs and others).

In addition, this individual will be responsible for interpreting, negotiating and drafting clinical trial agreements and a variety of other agreements related to interactions with healthcare professionals/institutions, as well as handling other legal projects or matters as assigned. The successful candidate will embrace the Law Department’s Professional Standards to be a valued business attorney and a genuine team player.

Essential Duties and Responsibilities:

  • Provide advice autonomously to management and the business teams.
  • Provide support to Baxter’s Chief Medical Officer with respect to a wide variety of legal issues including but not limited to, contracts, technology transfers, regulatory considerations, general operating issues and international complexities.
  • Responsible for providing legal guidance and counseling to business and functional teams (such as regulatory, compliance, R&D, medical affairs and others).
  • Support transformative innovation opportunities and projects for the Company.
  • Responsible for interpreting, negotiating and drafting clinical trial agreements and a variety of other agreements related to interactions with healthcare professionals/institutions, as well as handling other legal projects or matters as assigned.
  • Being knowledgeable about various business strategies and legal issues related thereto and proactively identifying and solving business issues with respect to division’s and company matters
  • Independently identify and drive development of discrete legal strategies for business units/functions with respect to science and technology matters.
  • Lead working teams autonomously and drive working teams to resolution/decisions in a timely and thoughtful manner.
  • Act as an informal advisor to other members of the business units/functions and Law Department, and working collaboratively with same.
  • Lead and participate in project teams addressing highly complex issues and matters of diverse scope.
  • Work collaboratively and responsively with a broad range of people internationally ensuring good relationships between legal, corporate, finance, human resources and operations to facilitate a team approach.

Qualifications:

  • Demonstrated experience as a valued business lawyer and genuine team player.
  • Ability to successfully handle and prioritize multiple complex matters.
  • Excellent written and oral communication skills.
  • Impeccable integrity.
  • Minimum of 10 years of relevant professional experience in a high-caliber law firm or comparable corporate environment.
  • Experience in drafting and negotiating complex commercial, clinical trial and healthcare provider agreements.
  • Experience in the pharmaceutical or device industry, with working knowledge in one or more of the following areas: HIPAA/HITECH Act, Anti-Kickback Statute and False Claims Act and various other laws/code of conduct governing HCP interactions.
  • Expert level experience with complex commercial contracts and agreements including patient consents, investigator-initiated trials, sponsored research, material transfers, clinical supply, collaboration/partnering/joint research and development, confidentiality, contract research organization, laboratory service, research and development/medical/clinical services, consulting, manufacturing, quality, licensing and vendor services.
  • Experience with technology transactions and inbound and outbound license agreements with a variety of partners including global corporations, institutions, start-ups and academia.
  • Experience working with University technical teams globally; specific university experience in the US, Europe, China and India is especially relevant.
  • Demonstrated experience in resolving challenging legal issues and ability to deliver sound, clear, solutions-oriented legal advice in a business setting.
  • Ability to independently identify and develop discrete legal strategies for business units/functions with respect to Research & Development matters.
  • Proactive business minded attorney with a history of identifying and solving business issues in addition to providing practical legal advice.
  • High degree of accountability, professional motivation and drive with the resulting ability to thrive in a results-oriented culture while driving excellence to optimize the execution of transactions.
  • A background in streamlining and improving workflows, and training and empowering business colleagues.
  • Strong ability to work with and coordinate activities across a large number of individuals across various functional areas and effectively communicate the impact of law and regulation on business operations in a solutions-oriented manner.
  • Experience working in a global company and matrixed environment desired.

Education and Experience:

  • The successful candidate will hold a law degree and will have obtained an undergraduate degree from a college or university of recognized standing.
  • S/he will be licensed in good standing to practice law in at least one state and one federal jurisdiction within the United States without any instances of suspension, revocation, censure or other adverse events in any jurisdiction.
  • A big picture thinker and solutions-oriented lawyer with a “hands-on” energetic approach and style coupled with a strong work ethic.
  • Fast and nimble, able to pivot between audiences and provide sound legal and business advice in a timely fashion.
  • Must be a team player who is collaborative and resourceful; but also have ability to work independently.
  • Detail oriented and an ability to manage heavy workflow, while setting appropriate priorities and deadlines and delivering results on time.
  • Analytic and strategic with the ability to devise creative solutions to effectively drive toward recommendations and closure.
  • Ability to engage, lead and manage projects both collaboratively and autonomously.
  • Willingness and enthusiasm to handle agreements and contracts from simple to complex.
  • Operate with a sense of urgency while remaining open-minded and adaptable when working in a rapidly changing environment.
  • Comfort operating in some ambiguous situations with the ability to drive forward with projects withstanding fluidity.
  • Smart, confident, self-starter with the ability to act as a “business partner.”
  • Good judgment, outstanding communication skills, superior client relations skills, good negotiation skills.

This position can be located remotely within the US, except for Colorado.
