The Expertise We’re Looking For

Minimum eight years as a practicing attorney; with five years’ relevant experience.

Law firm or equivalent experience required.

Experience in securities, public or private finance, and/or corporate and transactional law preferred.

Deep knowledge of the Investment Company Act of 1940 and familiarity with the Securities Act of 1933, Securities Exchange Act of 1934, and Investment Advisers Act of 1940.

Working familiarity with money market funds and Rule 2a-7 of the Investment Company Act of 1940 is required.

Stable value insurance wrap and repurchase agreement contract negotiation experience is desirable but not required.

Strong academic background.

The Purpose of Your Role

Deliver comprehensive legal counsel as an attorney assigned to the Fidelity Asset Management Legal Department’s Portfolio Investments Team. You will provide real-time legal advice to fixed income investment professionals on the structure and legalities of investment products, including money markets, structured securities, and U.S. and non-U.S. government and corporate bonds. You will gain an understanding of all aspects of the investment process by working closely with the business, including portfolio management, trading, operations, and compliance teams on the evaluation, set-up, processing, and purchase of sophisticated instruments, including repurchase agreements. You will draft, review, and negotiate the various trading agreements, stable value wrap contracts, and security offering documents necessary to support fixed income investing. Finally, you will monitor and analyze credit and legal developments as well as legislative and regulatory developments related to fixed income products.

The Value You Deliver

Be a key member and contributor to the Fidelity Asset Management Legal Department’s Portfolio Investments Team. You will work alongside a team of asset management attorneys primarily located in Merrimack, New Hampshire. This team works together to support the Fidelity Asset Management Group in respect of a broad range of investments held across Fidelity’s domestic and international funds, pools, and separately managed institutional accounts.

Work closely with portfolio managers, analysts, and traders to support Fidelity’s trillion dollar money market trading desk. Legal support will include providing guidance on applicable regulation including Rule 2a-7, helping to structure new investment products, and reviewing trading agreements and investment offering documents.

Support Fidelity’s taxable bond trading desks by reviewing and completing security offering documents (including structured and privately offered securities), providing regulatory guidance, and working with investment associates and bond underwriters to structure new investments.

Draft, negotiate and complete master agreements, trading agreements, and related documents required for various investments including cleared and non-cleared repurchase agreements, stable value products, forward settling securities, tender option bonds, and commercial paper programs.

As a member of a cross-functional team of associates you will work on projects that gauge the impact of proposed legislation and regulations, coordinate advocacy on behalf of Fidelity, and support implementation.
