And we need people like you to make it happen. The Legal Counsel is a true corporate generalist supporting Brazil Market, but who is also part of a large global Legal Affairs team. The professional will work closely with internal clients and support the company's various business units by drafting, reviewing, and negotiating sales contracts, service agreements, bids, leases, and purchase agreements, as well as advising on various commercial transactions. This Legal Counsel will also advise as to internal policies, assist with transactions, review, and resolve claims, support procurement activities, support litigation, provide training to company personnel on legal and compliance matters, assist with the management of outside counsel and assist the corporate secretary. This Legal Counsel will work closely with business groups, project managers, engineers, risk managers, external clients, and outside counsels .In addition to excellent oral and written communication skills, the successful applicant will be a team player who works well with clients and management with an entrepreneurial spirit to provide legal support company-wide. English is required. This position will report to the Senior Legal Counsel in Brazil. This position is based in São Paulo, SP. You might be travelling domestically and internationally.(COMPANY NAME) is not sponsoring work visas or relocation for this position

.What you will do

As the Legal Counsel, you will:• Negotiate and draft complex agreements for a variety of complex projects in the food processing industry.• Negotiate and draft complex equipment lease or sale agreements for food processing and packaging projects.• Draft, negotiate and provide legal advice with respect to product supply agreements as purchaser and seller, procurement agreements equipment lease agreements, marketing agreements, confidentiality agreements, and equipment leases.• Advice on the structure of financial transactions related to operations, including finance agreements, lease structures, and security interests.• Identify and analyze legal issues and risks, review and draft legal agreements, present clear recommendations, and assure legal compliance across the full spectrum of legal issues facing the company.• Support litigation-related activities, including support for two manufacturing facilities.• Perform other job-related duties as assigned, including matters related to sustainability, data privacy and so forth. We believe you have:

• Solid legal experience with drafting and negotiating commercial contracts is required preferably gained in both law firm and in-house environment• Juris Doctorate Degree from an accredited Brazilian law school is required• Licensed to practice law and admission to (and currently in good standing with) the Bar Association of Brazil ( OAB )• Proven ability to communicate effectively and persuasively to senior management• Fluent in English and Portuguese are required.• Excellent interpersonal, verbal, and written communication skills• Result-oriented work ethic to always deliver on-time, on-scope and on-budget• Experience in the food industry is preferred• Anti-trust and litigation knowledge is a plus
