Role Summary
The Stock Plan & Shareholder Services Manager is a subject matter expert in administration of stock plan administration and shareholder services Alaska Airlines and Horizon Air. As an individual contributor, this role exercises considerable judgment to make decisions and advise executive and finance leadership and ensure AAG’s compliance with external entities such as the New York Stock Exchange (NYSE), Securities & Exchange Commission (SEC), IRS regulations, Sarbanes-Oxley, and Dodd-Frank Acts.
Key Duties
Manages daily stock plan administration activity (Charles Schwab), including reporting for securities and tax purposes, executing transactions, and responding to employee/executive customers.
Coordinates flow of employee and payroll data to and from equity administration vendor and manages information in the equity administration database to ensure data integrity.
Works closely with HR Compensation to calculate and manage annual and off-cycle equity grants, including new hires/promotions, and vesting cycles.
Supports the Board of Directors (Directors), executives, employees, and shareholders with information and project management for activities ranging from routine transactions to annual filings and compliance audits.
Manages Director compensation plans, payment, and stock deferral program.
Manages the Employee Stock Purchase Plan (ESPP) enrollment/purchase cycles and the transfer agent (Computershare) and depository trust relationships.
Prepares regular and ad-hoc reports to support equity administration processes and meet financial reporting/disclosure needs (e.g., SEC disclosures).
Prepares equity and compensation related materials for Compensation Committee meetings.
Owns and manages the Proxy/Annual Meeting process:
Determines key deadlines for proxy statement/annual report preparation and distribution
Works with MD Corporate Affairs and Compliance, HR, Payroll, outside counsel and others to complete the annual Proxy filing including completion of tables, graphs and charts.
Coordinates solicitation of proxies for annual shareholders meeting and communicates/ tracks progress.
Assists executives with planning and disclosures associated with 10b5-1 trading plans and the implications of stock swaps, gifting shares, and other stock trading alternatives.
Manages annual director/officer compliance questionnaire process tied to Director independence disclosures, Director/officer related party transactions policy compliance, and Director financial expertise.
Assists the General Counsel and Managing Director Corporate Affairs with pre-clearance of affiliates to trade.
Serves as Secretary of the Alaska Airlines Foundation, Assistant Corporate Secretary of Horizon Air Industries, Inc. and Secretary of the Alaska Air Group Political Action Committee.
Job-Specific Experience, Education & Skills
Required
4 years of experience in stock plan administration, related corporate affairs, shareholder services or related area. 
Bachelor’s degree or an additional two years of relevant training/experience in lieu of this degree.
Knowledge of Sarbanes Oxley, internal control concepts and SEC filings.
Strong interpersonal skills facilitating effective verbal and written communication at all levels in the organization and the ability to create collaborative relationships that drive outcomes in the best interest of the company, with others in the organization, and with key external business partners.
Ability to engage with and establish credibility with business partners at the most senior/executive level.
Proven ability to leverage business acumen and analytic capability to position the organization as a critical business partner.
Advanced proficiency with Microsoft Office applications (e.g., Word, Excel, PowerPoint, and Outlook).
Superior organization skills and attention to detail and accuracy.
High school diploma or equivalent is required.
Minimum age of 18.
Must be authorized to work in the U.S.
Preferred
Level 3 of the Certified Equity Professional (CEP)
A Master of Arts/Science degree or a Master of Business Administration degree.
