POSITION OVERVIEW:

This senior paralegal position is in The Coca-Cola Company’s Legal Team, supporting the Global Marketing & IP Function.  The person selected will work with our legal team and Company stakeholders to review global marketing materials, provide training to stakeholders regarding marketing legal issues and company policies, assist with coordination of a global network of marketing and IP lawyers, and help our stakeholders get answers to the many legal questions that arise on a day-to-day basis.  A strong background in marketing law or equivalent is required (including advertising substantiation, promotions and sponsorships, social media, and influencer partnerships) and some trademark and/or IP experience is preferred. The ideal candidate for this role will be collaborative, detail oriented, have the ability to prioritize multiple projects, and possess excellent communication, presentation and interpersonal skills.

KEY RESPONSIBILITIES:

  • Provide training to stakeholders and colleagues regarding significant recurring Marketing legal issues and Company Policies.
  • Review and advise on global advertising, marketing and communication materials to ensure legal compliance and minimize liability.
  • Advise stakeholders on how advertising, marketing and communication materials can be created and executed to ensure legal compliance and minimize liability.
  • Assist stakeholders in developing business terms for global campaigns, activations, sweepstakes, contracts.
  • Explain contractual relationships and counsel stakeholders on the implications that such relationships have on the Company's strategies and actions.
  • In partnership with lawyer, advise stakeholders on contractual requirements, responsibilities, obligations and risks 
  • Support lawyer in researching and preparing communications in relation to contractual rights, obligations and issues related to breach of contract
  • Develop materials and provide training on global marketing agreements, including the global sports, agency and sponsorship agreements.
  • Under the supervision of our attorneys, provide legal and/or business advice to associates with respect to day-to-day operations.
  • Develop legal subject matter expertise in relevant practice area(s).
  • Assist in the standardization of marketing agreements, identifying core provisions required for all marketing related agreements and ensuring that the Company’s marketing policies are incorporated into the agreements where appropriate
  • Manage documentation and prepare reports and analyses regarding our global marketing agreements, activations, and products
  • Support and work in partnership with our intellectual property counsels to drive our brand protection efforts and protect the Company’s brands, including the collection of use evidence and liaising with investigation agencies and other external vendors, including law firms
  • Perform searches regarding trademark availability and related issues, as needed.
  • Identify, administer and support the development of digital tools and platforms and ensure they are accurate and updated as required.
  • Provide training to stakeholders on use of technology and recurrent issues relevant to marketing agreements to promote self-sufficiency where appropriate
  • Ensure projects are integrated in key databases or such platforms as may be implemented globally by the legal function (including ANAQUA, TeamConnect, iManage, Apttus and new platforms) and otherwise ensure good governance around marketing contracting
  • Other duties related to support of the Global Marketing & IP Function, including PO creation, billing, invoicing support, project management, document preparation, and group facilitation
  • Attend meetings and participate in calls, including with global teams
  • Perform such other duties and participate in projects as may from time to time be assigned by the lawyers in the team.

TECHNICAL/FUNCTIONAL COMPETENCIES

  • Company Objectives and Risks.  Understand company objectives and risk tolerance. Includes knowledge of methods and/or techniques used to determine to identify objectives or risk tolerance and ability to incorporate the information in making legal decisions.
  • Company Policies.  Knowledge of and ability to analyze effect of Company policies on stakeholder activities.
  • Contract Drafting and Interpretation.  Ability to synthesize business terms and incorporate legal protections into a binding agreement. Includes knowledge of proper content of agreements and ability to understand and evaluate terms and contract language proposed by counterparties to determine items that are and are not negotiable.
  • Contract Law.  Basic. Basic knowledge of contract law. Includes knowledge of and ability to understand basic terms and concepts.
  • Intellectual Property Law.  Basic. Basic knowledge of trademark, patents and/or copyright law and regulations. Includes knowledge of and ability to understand basic terms and concepts.
  • Document Management.  Knowledge of Company document management and retrieval systems. Includes the ability to use the systems and knowledge of guidelines for handling or managing documents.
  • Legal Software.  Knowledge of and ability to use tools for automated contract drafting.
  • Contractual Relationships.  Ability to understand Company's contractual relationships with agencies, vendors, customers, sponsored properties and other counter-parties. Includes knowledge of the implications that such relationships have on the Company’s strategic decision-making and freedom to act.
  • Contractual Relationships II.  Ability to explain to stakeholders the obligations owed and benefits due the Company under its contractual relationships such that stakeholders understand and appreciate the implications that such relationships may have on the Company's strategic decisions and conduct.
  • Corporate Structure.  Knowledge of Company’s corporate structure and affiliated entities.
  • Legal Databases.  Knowledge of and ability to use legal databases used for contract administration.
  • Legal Research.  Ability to conduct and analyze legal research to determine applicable legal principles. Knowledge of and ability to use legal research resources, including electronic research tools.
  • Professionalism.  Ability to maintain professional demeanor and focus on objectives in confrontational negotiations.
  • Business Advice and Solutions.  Ability to develop and effectively communicate sound advice and/or analysis, including the suggestion of alternative business solutions and best practices while taking into account stakeholder’s role, objectives and risk tolerance.
  • Legal Background Information.  Ability to understand the historical context of legal matters. Includes the ability to determine relevant historical information and knowledge of procedures used to gather the information.
  • Legal Advice.  Ability to solicit and communicate legal advice and solutions that reduce financial liability, costs and negative publicity to acceptable levels.
  • Corporate Law.  Basic knowledge of corporate law and regulations. Includes knowledge of and ability to understand basic terms and concepts.
  • Litigation.  Basic knowledge of litigation practice and procedures (e.g., law suits, regulatory proceedings, alternative dispute resolution). Includes knowledge of and ability to understand basic terms and concepts. Negotiation Skills. Knowledge of negotiation strategy and tactics. Includes the ability to apply appropriate strategies during negotiations.
  • Opportunities and Risks. Knowledge of procedures/information used and ability to assess legal opportunities and risks.

MINIMUM QUALIFICATIONS/REQUIREMENTS/SKILLS:

  • Minimum 3+ years of experience as a transactional paralegal or equivalent role
  • Clear and concise communication – written and verbal
  • Autonomy – Work effectively with minimum supervision
  • Confidentiality – Ability to handle confidential and sensitive issues with maturity and professionalism
  • Technologically savvy and numbers literate – ability to use Microsoft 365, Word, Powerpoint, and Excel, and comfortable learning new technologies
  • Organized, with a keen eye for detail
  • Passionate about our products and business and being part of a winning team
  • Bachelor’s Degree or an Associate’s Degree, preferably with a Paralegal Studies Certificate from an approved ABA program or equivalent

LANGUAGE REQUIREMENTS:

Fluent spoken and written English. 

TECHNOLOGY/SYSTEMS REQUIREMENTS

Proficient in the use of Microsoft Office suite of products.  Strong presentation skills.
