The Corporate Governance and Secretariat function (CG&S) serves as principal advisor to boards of directors on corporate governance matters, and leads and implements a world-class corporate governance practice throughout the Group. The CG&S function consists of c.220 FTE across 25 countries. It is led globally by the Group Company Secretary and Chief Governance Officer (GCS&CGO) who reports directly to the Group Chairman.
 
We are currently seeking an experienced individual to join this team in the role of Deputy Company Secretary, Europe. 
 
The successful candidate will be reporting to the Regional Company Secretary.  The Deputy Company Secretary for Europe shall be accountable for the provision of first class corporate governance and secretarial support and advice to the HSBC Bank plc (HBEU) Board and the relevant committees and forums including the Board Risk Committee, Board Audit Committee, HBEU Disclosure Committee and HBEU Transformation, Operational Resilience and Technology Committee.  They shall partner with key stakeholders to ensure public reporting requirements of the Company are met in the jurisdictions where HBEU has listed debt.
 
Your responsibilities will include:

  • Setting a challenging and effective annual agenda for the HBEU Board and committees, ensuring support and engagement of the executive teams through partnership; 
  • Leading the annual effectiveness review of the Regional governance framework to support the responsibilities of the Nomination, Remuneration and Governance Committee of the HBEU Board; 
  • With support from the CG&S Global Policy team, tracking and acting upon changes in legislation, regulation and guidance relevant to the responsibilities of the team and the region including in relation to debt listings, advice on relevant aspects of the Market Abuse Regulations, the UK Listing, Disclosure and Transparency Rules, the UK Corporate Governance Code and other industry standards and best practice;
  • Acting as a direct functional manager for members of the European CG&S team in London;
  • Working in partnership with the broader Regional CG&S management team to encourage information sharing, consistency of approach, where appropriate, and a supportive and cohesive team culture: this will include engagement with subsidiary secretaries to ensure compliance with the Subsidiary Accountability Framework 2021 and supporting guidance.
 

Qualifications

 To be successful in this role you should meet the following requirements:

  • Qualified company secretary or lawyer with broad experience in a high quality, large and complex organisation is essential;
  • Prior experience in the financial services sector (or other regulated sector)is essential;
  • Sound knowledge of board practice and best practice governance requirements essential;
  • Strong understanding of legal entity corporate governance obligations essential;
  • Working knowledge of UK Listing Rules preferred; Hands-on experience as a lead company secretary for Boards or Board committees is desirable;
  • UK statutory and UK / European regulatory experience/awareness is desirable.
The base location for this role is 8 CS, London.
