Reporting to the Associate General Counsel, the Counsel’s primary role will be to serve as a key partner to the sales organization supporting commercial contracting for MDLIVE (“Companyâ€) and in this role, will provide strategic legal advice and guidance to drive growth, innovation, operational efficiencies and maximize profitability while minimizing risk. In addition, the Counsel will advise on a broad spectrum of legal and regulatory matters at multiple levels of the organization relating to the Company’s business. The Counsel will support other Evernorth legal services needs as assigned.
Serve as a valued legal advisor with respect to commercial transactions / contracting matters
- Draft, review, analyze, advise and negotiate a wide range of commercial agreements, focusing on sales and customer contracts with health plan employers, health systems and re-sellers/brokers
- Develop a deep understanding of MDLIVE’s products, services and business model and build strong relationships with MDLIVE’s leadership, sales, services and product teams
- Provide leadership in managing the contracting process and the contract lifecycle management process
- Handle pre-litigation commercial disputes in a fact-based, measured, and professional manner
Advise on broad spectrum of laws and regulations
- Identify, analyze and manage risk related to the Company’s commercial contracts regarding a broad range of legal issues, including but not limited to: Medicare/Medicaid, information privacy and security, telemedicine/virtual health, corporate practice of medicine, licensure, fraud, waste and abuse, data and IP protection and other applicable laws and regulations
- Identify, assess, and resolve legal risks relating to the Company’s business
- Become familiar with telemedicine laws, regulations and policies, and work closely with the sales, product, and clinical operations team to drive growth while maintaining compliance with applicable laws

- This role will be exposed to highly confidential and sensitive information about MDLIVE, its employees, clients, patients, and business partners and must maintain the utmost professionalism and discretion in the handling of such information
Quailifications:
- Strong decision making and analytical skills
- Proficient in Microsoft Office programs and willing to develop expertise in contract lifecycle management software
- Excellent communication skills
- Ability to think outside of the box to solve legal and business issues
- Demonstrate high level of confidentiality
- Knowledge of HIPAA, state and federal guidelines on privacy, transactions, and security
- Knowledge of health care legislation and standards for the protection of health information and patient privacy (PHI and PII)
- Broad knowledge of the law and its application to health care providers
- Analytical ability necessary to solve highly complex legal problems via a prudent legal course of action
- Excellent skills communication skills, verbal and written
- Proven solution-oriented
- Juris Doctor (JD) degree from nationally recognized law school and qualified bar admission
- 5-7+ plus years of progressively responsible legal experience with law firms and/or companies operating in the health care industry
- Significant commercial/contracting experience, including with health plans and health systems
- Experience with revenue cycle/payment issues between health care providers and health plans is a plus
- Significant experience with health care laws and regulations, including the areas mentioned in the Essential Functions section above
- Experience with legal issues relating to health care technology and data use
This position is not eligible to be performed in Colorado.
