Administer the company’s contract review process, review and draft contracts, serve as the primary point of contact between the business and the law department related to contracts, collaborate with other members of the law department on process improvements, and provide other related support to the law department.

Primary Responsibilities:
Provide contract administration: maintain contract review and non-disclosure agreement database, train employees in contract review process, identify and implement contract review process improvements, develop user guidelines, draft and update agreement templates.
Review and draft a variety of commercial contracts, including sales, consulting, license, service, procurement, distribution, and software agreements under supervision and direction of law department attorneys.
Maintain and update law department toolkits.
Effectively and efficiently respond to a variety of law department service requests as point of contact between businesses and the law department.
Perform legal research as needed.
Interact with outside counsel.
Participate on law department and business teams in support of Company goals and objectives.
Assist with budget build exercises, forecasting and accruals, and metrics related to the financial spend of the assigned business units.
Prepare reports and conduct analysis. Â
Other duties as assigned to support the law department.Â
Minimum of 8-10 years experience as commercial paralegal, or in corporate contract administration or procurement; experience with a variety of agreements, and in an international corporate environment, a plus.
Bachelor’s degree in related field; paralegal degree/certification preferred; JD a plus.
Strong oral and written communication and negotiation skills.
Demonstrated ability to collaborate with business clients to understand business requirements and translate them into appropriate contract language.
Knowledge of the Uniform Commercial Code (UCC).
Demonstrated ability to develop and foster outstanding client and colleague relationships.
Willingness to accept increased responsibilities and meet the demands of the law department in a professional manner, whether working independently or as part of a team; a proactive approach, with ability to adjust to frequent change.
Must have experience in handling highly confidential matters.
Proficiency in applicable computer systems, such as Microsoft Word/Office, Excel, and Google software (GMail, Google Drive, Google Docs, Google Sheets).
Proficiency in law department matter management and contract administration software preferred.
Excellent analytical, time-management, organizational and project management skills.
Accurate typing, spelling and grammar skills required.
Ability to prioritize and complete projects and assignments, exercise independent judgment, initiative, attention to detail and tact.Â
Experience in M&A matters, including post-closing integration, a plus.
