Overview of role

As Company Secretary Manager you will be reporting into the Commercial Law team of TfL which sits within TfL’s General Counsel directorate; it is a high performing, supportive and collaborative team and a great place to deploy your skills and develop your career.

In joining us you’ll be supporting the corporate governance for an unrivalled public service that helps millions of people a day and helps drive the capital's economy. Bringing a can-do, pragmatic approach, with a real attention to detail and exceptional levels of organisation, you'll work to deliver corporate compliance for TfL, the Greater London Authority and over 30 subsidiaries. You’ll also have line management responsibility for at least one other colleague.

Key Accountabilities:

You will be responsible for ensuring the effective management of TfL's company secretarial compliance and will lead, manage and develop the team responsible for providing the company secretarial function, managing one other colleague and working with the Head of Commercial Law and Head of Secretariat. You also will manage the relationship with TfL’s external company secretarial services provider.

You will lead the organisation of subsidiary company board meetings and manage TfL’s process for the execution of key documents.

Skills, Knowledge & Experience 

Skills

The Job Holder will be required to demonstrate the following skills (all essential):

Self-motivated with well-developed organisational skills, able to work under own initiative and in high pressure situations with competing and conflicting demands and tasks.

An excellent communicator and stakeholder manager, capable of influencing and interacting with tact and diplomacy at all levels, including senior executive, as well as working with stakeholders to deliver and resolve conflicts as they occur.

Highly developed written communication skills with the ability to interpret complex information and adopt different styles of writing to suit audience.

Skilled in preparing and presenting complex information in a clear and concise manner to a variety of audiences, including senior executive team.

Excellent IT skills (including being proficient in the use of Microsoft Office products).

Knowledge

The Job Holder will be qualified (preferred) or prepared to study (essential) for the qualification of the ICSA (The Chartered Governance Institute). 

The Job Holder will be required to demonstrate practical knowledge of: the principles of good governance and relevant legislation such as the Companies Act 2006; and record keeping and filing commitments in accordance with the filing of company accounts, including use of Blueprint software (essential). 

The Job Holder will also have extensive understanding of working within a highly politicised environment (preferred).

Working knowledge of the systems, processes and governance structures of TfL and the GLA (preferred).

Excellent knowledge of how to present and influence the senior executive/Directors and external stakeholders (essential).

Excellent knowledge of internal and external communication methods, including how to handle and respond to complex, sensitive and high-profile queries (essential).

Experience

You'll hold the qualification of ICSA from the Chartered Governance Institute (or, at least, be willing to work towards it). 

You'll have experience of managing a small team, with external company secretarial support.  

Experience of company secretarial work in the context of a broader public sector governance regime will be advantageous but not essential. 

You will be experienced in briefing new and existing senior staff on compliance issues, as well as identifying and escalating compliance risks. 

You will be highly organised and able to work independently on routine matters as well as liaising with, and reporting to, others on sensitive matters. 

Well-organised yet flexible, you have the initiative, desire and motivation it takes to provide a truly efficient and effective company secretarial service, including making proposals for and implementing process improvements where appropriate.

Some experience of managing a centralised process for the execution of key documents will be an advantage but not essential.
