Overview

The Commercial Paralegal will be primarily responsible for supporting the commercial and transactional work of the Brunswick Corporate Law Department. The Commercial Paralegal is expected to have subject matter experience in contracts and transactional matters, particularly IT and sourcing agreements.  Experience with employment and/or litigation matters is a plus, but not required.

Key Responsibilities

  • Draft and review a wide variety of commercial documents, reports and filings, including IT agreements, procurement/sourcing/supply agreements.
  • Assist attorneys with the preparation, review and execution of various transaction documents in connection with the Company’s acquisitions, divestitures, real estate, financing and treasury matters.
  • Assist attorneys with the due diligence process from time to time (e.g., preparation of due diligence checklists, gathering, reviewing and summarizing documents, etc.).
  • File and/or coordinate the filing of UCC financing statements, order and review documents in connection with UCC searches.
  • Perform legal research tasks on various commercial matters and assist with strategic projects as necessary.
  • Assist attorneys with the day to day operation of Brunswick’s Ethics Program, including preparation of management and board of director reports, ethics training and management of ethics hotline.
  • Assist attorneys with litigation management, including reserve and accrual reports, recalls, management of hold orders and subpoenas and service of process, management of asbestos portfolio, liaising with insurers.
  • Utilize good written and verbal communication skills and exercise sound judgment and independent decision-making.

Position Requirements

  • Minimum of 5 years related experience with contracts and transactional matters.  Litigation experience a plus. 
  • Previous experience working in a corporate law department preferred.
  • Paralegal degree or certification preferred.
  • Proficiency with Microsoft Office products, and demonstrated ability to learn IT applications and systems.
  • Careful attention to detail, curiosity, resourcefulness, consistent follow through, and good judgment.
  • Ability to prioritize and manage workload effectively and independently while accountable for work product.
  • Excellent written and verbal communication skills and solid analytical and organizational skills.
  • Cooperativeness, flexibility, ability to collaborate, and work across functions in a team environment.
  • Candidate must be able to use time efficiently to meet multiple deadlines and to take responsibility for completing assignments with minimal supervision.
